Terms of Service

1. Acceptance of Terms

By accessing or using the Convorai AI Business Assistant platform ("Service") provided by Magebytes Technologies ("Company"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

2. Service Description

Convorai is a SaaS platform that provides an AI-powered lead-qualification and customer-engagement assistant via an embeddable chat widget, built for real estate, recruitment, insurance, education, IT support, sales, customer service, and other service businesses. The Service qualifies visitor inquiries, answers questions, prepares quotes where configured, and escalates conversations to your team.

3. Accounts and Registration

• You must provide accurate and complete registration information.
• You are responsible for maintaining the security of your account credentials.
• You must notify us immediately of any unauthorised use of your account.
• Each account may only be used by a single business or business entity. Reselling or sub-licensing access is prohibited without our prior written consent.

• Subscriptions are billed monthly in advance.
• Billing is processed through Stripe.
• Unused message quota does not roll over between billing periods.
• We reserve the right to suspend the Service if payment is not received within 7 days of the due date.

5. Acceptable Use

You agree not to use the Service to:

• Transmit spam, phishing messages, or unsolicited commercial communications
• Distribute malware or engage in any activity that disrupts the Service
• Impersonate any person or entity or misrepresent your affiliation
• Collect personal data from visitors beyond what is disclosed in your own privacy policy
• Violate any applicable laws or regulations, including consumer protection and data privacy laws
• Reverse-engineer or attempt to extract the underlying AI models or source code

6. Intellectual Property

The Convorai platform, including the widget, dashboard, and API, is owned by Magebytes Technologies and protected by copyright and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the Service during your subscription. You retain all ownership rights to your business data and conversation content.

7. AI-Generated Content

The Convorai widget generates responses using large language models. You acknowledge that AI-generated content may occasionally be inaccurate or incomplete. You are responsible for reviewing and, where appropriate, configuring the agent to ensure responses are suitable for your business and its visitors. Where the agent is configured to prepare quotes (e.g. for insurance), those figures are indicative only and are not binding until reviewed and confirmed by your team. We are not liable for any decisions made based on AI-generated responses.

8. Limitation of Liability

To the maximum extent permitted by law, Magebytes Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill. Our total liability for any claim arising under these Terms shall not exceed the fees paid by you in the three months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Magebytes Technologies and its officers, directors, employees, and agents from any claims, losses, or damages arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

10. Termination

Either party may terminate the subscription at any time. Upon termination, your access to the Service will cease at the end of the current billing period. We reserve the right to suspend or terminate accounts that violate these Terms immediately and without notice.

11. Changes to Terms

We may update these Terms at any time. We will provide at least 14 days' notice of material changes via email. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of the jurisdiction in which Magebytes Technologies is incorporated. Any disputes shall be resolved through binding arbitration, except where prohibited by applicable law.
